Insolvency and Financial Restructuring

Distressed assets and business restructuring are a critical component of our practice. We have the resources to respond to the time-sensitivity of financial crises and provide whatever assistance is required. Antitrust

The Firm has a premier antitrust and trade regulation practice, and our Shanghai and Beijing attorneys and legal consultants are intimately familiar with China’s Anti-Monopoly Law. Capital Markets. The Italian practice team has extensive experience in capital market transactions involving Italy and Italian companies, including equity offerings, convertible debt offerings and private placement transactions (including under Rule 144A and Regulation S). The Italian practice team has acted as counsel in offerings of Italian regions, municipalities and companies covering a broad gamut of industries and sectors, including air transport, banking, fashion groups and retailers, household products, internet portals, luxury goods and media. We have counseled Italian clients in connection with their reporting, listing and public company obligations under the U.S. federal securities laws.

Mergers and Acquisitions. The Italian team is experienced in cross-border mergers and acquisition transactions involving Italy and Italian companies, including privately-owned and public company acquisitions, mergers, tender offers and going-private transactions. Government Investigations
